These terms of use form the agreement between you and Innolope LLC governing your access to and use of Fragnoir, which comprises the website at fragnoir.com and, once released, the Fragnoir applications for iOS and Android, referred to throughout this document as the Service. By opening the Service, browsing the catalogue, following a link to a retailer or creating an account, you accept these terms; if any part of them is unacceptable to you, the appropriate response is to stop using the Service, and we would genuinely rather you did that than proceed on terms you have not agreed to.

1. What the Service is, and what it is not

Fragnoir is an information service about fragrances. It provides a catalogue of perfumes together with their note pyramids, accord profiles, concentrations, perfumer credits and other descriptive attributes; it hosts ratings, votes and written reviews contributed by the community; and it compares the prices at which third-party retailers are offering a given bottle, linking out to those retailers so that you can buy from whichever one you choose.

It is equally important to state clearly what the Service is not. We are not a shop. We do not sell fragrances, we do not hold stock, we do not take payment, we do not ship anything, we do not process returns and we are not a party to any purchase you make. Every transaction happens entirely on the retailer's own website, under the retailer's own terms and conditions and privacy policy, and any question about the price you were charged, the authenticity or condition of the goods, delivery, cancellation, warranty or refund is a matter between you and that retailer. Your statutory consumer rights in respect of such a purchase are enforceable against the seller, not against us, and nothing in these terms attempts to reduce them.

2. Affiliate links and our commercial model

Fragnoir is free to use and is funded by affiliate commission. When you follow an outbound link from the Service to a retailer and subsequently make a purchase, that retailer may pay us a percentage of the sale, and this revenue is what pays for the catalogue, the infrastructure and the people who build the product. You pay exactly the same price as you would had you navigated to that retailer directly; the commission is paid out of the retailer's margin and is never added to your bill.

Because a revenue model of this kind creates an obvious temptation to distort what users see, we bind ourselves in these terms to three commitments that you are entitled to hold us to. First, the price comparison is ordered by price, so the cheapest offer we know of appears first regardless of what any retailer pays us and regardless of whether it pays us anything at all. Second, retailers cannot buy placement, prominence or inclusion in the catalogue. Third, commission arrangements have no influence whatsoever on community ratings, on editorial descriptions, or on which fragrances the Service recommends. 3. The accuracy of catalogue and price information

The fragrance information in the Service is assembled from retailer product feeds, from openly licensed public databases, from published reference material and from contributions made by our community, and it is presented on a best-efforts basis. Perfumery is an unusually messy domain for structured data: houses reformulate compositions without changing the name on the bottle, published note lists are marketing documents rather than ingredient declarations, concentrations are described inconsistently between markets, and the same product appears under subtly different names in different countries. We correct errors as we find them and we are grateful when you report them, but we cannot warrant that every attribute shown is complete, current or correct.

Prices deserve a separate warning because they change constantly. A price shown in the Service is a record of what a retailer was advertising when we last read its feed, not an offer capable of acceptance and not a guarantee that the same price is available to you now. Stock sells out, promotions expire, currency and shipping terms vary by destination, and retailers change prices without notice. Always confirm the final price, the product variant, the volume and the delivery terms on the retailer's own page before you commit to a purchase; where the retailer's page and our comparison disagree, the retailer's page is by definition correct and ours is stale.

4. Eligibility and accounts

You must be at least sixteen years old to use the Service, and if the law of your country of residence sets a higher age for consenting to the processing of personal data by an online service, that higher age applies to you instead.

Certain features, principally the fragrance wardrobe and the ability to publish ratings and reviews, will require an account once the applications are released. You are responsible for maintaining the confidentiality of the credentials associated with your account and for activity conducted through it, and you should tell us promptly at [email protected] if you believe it has been accessed without your authorisation. You may close your account at any time from within the Service, and doing so will delete or irreversibly anonymise your personal data as described in our privacy policy. We may suspend or terminate an account where these terms have been seriously or repeatedly breached, where we are required to do so by law, or where continuing to provide it would expose us or other users to material risk, and we will tell you why unless telling you would itself be unlawful.

5. Content you contribute to the community

Where the Service permits you to submit ratings, note votes, written reviews, photographs or corrections — collectively your contributions — you keep ownership of everything you create. By submitting a contribution you grant us a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, adapt for formatting purposes, publish and display that contribution within the Service and in reasonable promotion of it, for as long as you leave it published and for such period afterwards as is technically necessary to remove it from backups.

You warrant that each contribution is your own work or that you are otherwise entitled to submit it, and you agree not to submit anything that is unlawful, that defames or harasses another person, that infringes anyone's intellectual property, that contains another person's personal data, that promotes counterfeit goods, or that is deceptive — a category which expressly includes reviews written in exchange for payment, free product or any other undisclosed inducement, reviews of fragrances you have never worn, and any coordinated attempt to inflate or suppress a rating. The credibility of the community record is the single most valuable asset this product has, and we enforce this paragraph seriously.

Contributions pass through automated screening and, where that screening or a subsequent review raises doubt, human moderation, before or shortly after publication. We may decline to publish, may remove and may edit for formatting any contribution, and we may restrict the accounts of people who repeatedly breach these rules. Every published contribution can be reported from within the Service by any user, and we review reports promptly; if your own contribution is rejected you will be told the category of reason, and you may respond to us at the support address if you believe the decision was wrong.

6. Acceptable use of the Service

You agree not to scrape, crawl at unreasonable volume, bulk-extract, republish or resell the catalogue or any substantial part of it; not to circumvent or interfere with the security, rate limits or integrity of the Service; not to access it by automated means except through interfaces we have published for that purpose; not to manipulate ratings, reviews or affiliate tracking, including by generating artificial outbound clicks, which is not merely a breach of these terms but conduct that can cause us to lose our affiliate accounts entirely; not to impersonate any person or misrepresent an affiliation; and not to use the Service for any purpose that is unlawful in your jurisdiction or ours.

7. Intellectual property and third-party marks

The Service as a whole, including its software, visual design, typography, editorial text, database structure and the selection and arrangement of its contents, is owned by Innolope LLC or licensed to us, and is protected by copyright, database and related rights. These terms grant you a personal, revocable, non-transferable licence to use the Service for your own non-commercial purposes and grant you nothing else.

The names, logos, packaging designs and trademarks of fragrance houses, brands, perfumers and retailers that appear in the catalogue belong to their respective owners and are used descriptively, in order to identify the products the Service indexes and the shops that sell them. Their appearance does not imply any endorsement of, affiliation with, or sponsorship by those owners, and we make no claim to those marks. If you are a rights holder and believe material in the Service infringes your rights, write to [email protected] identifying the material and the right concerned and we will investigate without delay.

8. Availability, warranties and liability

The Service is provided on an "as is" and "as available" basis. We work to keep it running and accurate, but we do not warrant that it will be uninterrupted, error-free, free of harmful components, or that the information within it is complete or current, and to the fullest extent permitted by applicable law we exclude all implied warranties and conditions. We may change, suspend, restrict or discontinue any part of the Service, and where a change is material and affects features you rely on we will give reasonable notice.

To the fullest extent permitted by applicable law, we are not liable for indirect, incidental, special, consequential or punitive damages, nor for loss of profit, revenue, data or anticipated savings, nor for any loss arising from your dealings with a third-party retailer, including the price you were charged, the authenticity or condition of goods, delivery failures or a retailer's insolvency, and our aggregate liability arising out of or in connection with the Service is limited to the amount you have paid us, which for a free service is nothing. Nothing in these terms, however, excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for intent or gross negligence, or for any other liability that the law does not permit us to exclude; nor does anything here affect the mandatory statutory rights you enjoy as a consumer under the law of your country of residence.

9. Changes, governing law and contact

We may amend these terms as the Service develops or as the law requires. The date at the top of this page records when we last did so, and where an amendment materially affects your rights or obligations we will give reasonable notice through the website or the applications before it takes effect. Continuing to use the Service after the effective date of an amendment constitutes acceptance of it; if you do not accept it, you should stop using the Service and, where you hold one, close your account.

These terms are governed by the laws applicable at the seat of Innolope LLC, save that if you are a consumer resident in the European Union or the United Kingdom, you additionally enjoy the protection of the mandatory provisions of the law of your country of residence, and nothing in this paragraph deprives you of the right to bring proceedings in the courts of that country.
